Body Shop, How To Value ?

Many smaller body shop owners have asked, “How do I appraise my body shop?” In the last month I have been asked to do two appraisals on body shops. The first appraisal was to assist in partnership dissolution; the second appraisal was for marriage dissolution. (That is what the attorneys call a divorce.) Would you like to know how to appraise the value of a body shop business?

Before we begin, I would like to make one comment. Whenever a CPA has done an appraisal of a body shop, I find that their opinion of value is much greater than the actual value the market place will pay. This is not because the CPA’s do not know what they are doing because they do; it is just that the market place places a much higher risk on buying a body shop than the accountants do. The following is an excerpt from one of those appraisals.

THE THREE WAYS TO APPRAISE A BUSINESS

1. The ASSET VALUATION METHOD. This method is basically used when a body shop does less than $400,000 a year in gross income and the seller is making wages, but no real profit above what he would be paid if working for another. On this size business, a buyer is willing to pay for the assets of the business but little or nothing for goodwill. The equipment is usually worth between $50,000 and $100,000, depending on how many frame machines the business owns and how nice a spray booth the business owns.

I have seen some specialized shops sell for more than the above number because they have a truck spray booth or another business attached to the main business. Examples of attached business might be an auto repair shop or towing operation. Also the location, size and real estate rental amount will influence the value of any business, to some degree.

2. The second method, I call the GROSS SALES METHOD. This is used when the sales are over $1,000,000 a year but the profit is unknown or financials are not available or reliable. Because of experience, a Body shop buyer can make reasonable estimates of future profits, if they have some basic information. The basic information includes rent, source of business (DRP, STREET, or a CAR RENTAL AGENCY), and the desirability of the location.

When this method is used, the value appears to be about 3 months sales or 25% of the last 12 months sales. This method is not very reliable on businesses with sales of less than $1,000,000, because the question of being profitable is very questionable. Why is this breaking point $1,000,000 in annual sales? Multi-store buyers will have well paid managers, so many figure their breakeven point is around a million.

Less than $1,000,000 in sales is not even worth their time. Of course we know that there are exceptions to the rules. Some of the exceptions are A. when a new location will be a satellite store to a bigger location. B. The buyer must have a location in a specific area to please a DRP. C. To get rid of a competitor.

3. The third and most used method of evaluating any business, including body shops, is the NET PROFIT METHOD. This method is based on the idea that a business is worth what it generates, in profit and benefits, for an owner. Body shops, like so many other small businesses, often do not show a profit, at the end of the year. Strange, how so many businesses of different sizes all just happen to end up with little or no profit. What I find really amazing is that the IRS doesn’t audit more businesses then they currently do.

As a result of showing poor profits, on the books, it becomes very difficult to use the NET PROFIT METHOD for appraising many small businesses. Luckily for me, I can quite often find hidden profits, of a business, by adding to the books, items we call owner’s benefits. These include: Owners salaries, if a corporation. Personal autos and all the related expenses used by the owner and his family that are written off against the business, fife insurance and health insurance for the owners.

Depreciation is also a hidden profit that is usually added back in to the taxable profit to help build up the total owners benefits. And lastly, personal utilities, phones, trips, etc. that are deducted on the tax return but are not really costs to run the business.

After saying all this, what is the value of a business based on the Net Profit Method? Automotive businesses, especially auto body shops appear to sell for between 1.5 to 2 years adjusted profit (book profit plus owners benefits added back in). Larger body shops doing over $2,000,000 in annual sales may sell for much more, because the owner is making much more money, than just his salary and a buyer will consider part of the profit a return on his financial investment.

Very large body shops that are being bought by public corporations are evaluated primarily on their return on investment (Percentage profit that is being made on the cash purchase price of the business.) These big buyers can afford to pay between 5 times and 10 times annual net profit, after deducting all officers’ salaries and perks.

Often these, public corporations, high purchase prices include two important restrictions, which is really why they are buying the business in the first place. First: The business is bought for little or no real money. They use restricted corporate stock that is not negotiable for two years. And second: The management is required to stay and run the company for some period of years.

The bottom-line, as I see it, is that you sold your soul, not your business. One last comment on selling to large corporations; heaven help the seller who sells his business for corporate stock or the buyers bonds and the buying company goes broke or the stock market crashes. I had a close friend sell his company for mostly cash and some seller carry back financing in Dec 1997. By Feb 1998 the buying company was in bankruptcy, making the paper my friend held worthless.

CONCLUSION: Appraising a business, especially body shops, is an art not a science. No two people will appraise the value of a business the same. I am amazed that the same thing one buyer thinks is a great asset is what another buyer thinks is a major negative. Differences of opinion are what make life interesting.

• If the loan is an installment loan, does it use rule of 78 or simple interest? (Simple interest is always better because it does not penalize the motorcycle buyer if the loan is paid off early.)

• What happens if a payment is 60 days late? Does the interest rate increase?

• How long is the term on the motorcycle loan?

• Is the interest rate fixed or variable? If fixed how long will it be fixed for?

• What is the down payment requirement to get the motorcycle loan?

• Is full coverage insurance required?

• How much is registration and are these fees included in the motorcycle loan?

Overall, motorcycle buyers can avoid these common mistakes by spending a little extra time focusing on shopping for a motorcycle loan and asking lots of questions.

Employee Pricing from Auto Manufactures

With all the employee pricing being hyped and advertised
on the media I thoughtI would write a short article on the
subject. I have also gotten a lot of questions in emails about the subject.

Here’s the deal: Employee pricing is the lowest price you will
ever be able to purchase a vehicle for period.

Employee pricing is usually several hundred dollars below
invoice.

So how is the auto dealer making any money selling at employee
pricing?

It’s simple… They are reimbursed from the auto manufacture.
For example General Motors gives $1500 to the dealer for every
car sold at employee pricing.

When you combine employee pricing with the rebates your getting
the very best deal possible.

Obviously the dealer is still going to try and up his profit
margin in several other ways.

If you are trying to trade in a vehicle then the dealership is
going to try and offer you even less than he normally would.

Because of employee pricing everyone and their brother is
buying a new car right now and the dealerships are stuffed with
used car inventory. Therefore unless they can “steal” your
trade they are really not that interested in taking in another
used car in their inventory.

If you want to buy a car at employee pricing then this would be
the best time to try and sell your trade in vehicle yourself
and save yourself the headache of muddying the water with your
employee price purchase.

The other question I get asked a lot lately is, “How do I know
I am getting the actual employee pricing?”

They are doing national advertising for employee pricing and it
is coming from the auto manufacture. When the actual auto manufactures come out with an incentive program the dealers
must adhere to it! If they tried to be dishonest and sell you
the car you want above the employee pricing they would be
in extreme hot water with the manufacture, could lose their
franchise, and get sued.

Therefore you don’t have to worry about not getting the actual
employee price if it is advertised. The only time the numbers
can get skewed is when you throw in your trade vehicle which
you owe money on. Again, this is why I encourage you to sell
your vehicle yourself.

Last but not least, just because there are great deals at
employee pricing does not mean you should go out and buy a new
car. If you can’t afford the car or the payments then it does
not matter how good a deal you got.

You’re still putting yourself in financial hardship. Think
before you buy!

Medical payments are not required by Alabama law. This coverage protects against medical expenses incurred as a result of an accident. Costs such as ambulance, x-ray, hospital visits are all covered. Whether you require this will depend on what type of medical insurance coverage you have. If your coverage has limitations you will want to carry medical payments coverage.

If your existing medical insurance has unlimited coverage you may not require this coverage. Auto Insurance Primer

What is auto insurance? Auto insurance (or car insurance, motor insurance) is insurance consumers can purchase for cars, trucks, and other vehicles. Its primary use is to provide protection against losses incurred. By buying auto insurance, depending on the type of coverage purchased, the consumer may be protected against:

* The cost of repairing the vehicle following an accident
* The cost of purchasing a new vehicle if it is stolen or damaged beyond economic repair
* Legal liability claims against the driver or owner of the vehicle following the vehicle causing damage or injury to a third party.

Liability insurance covers only the last point, while comprehensive insurance covers all three. Even comprehensive insurance, however, doesn't fully cover the risk associated with buying a new car. Due to the sharp decline in value immediately following purchase, there is generally a period in which the remaining car payments exceed the compensation the insurer will pay for a "totaled" (destroyed, or written-off) vehicle. So-called GAP insurance was established in the early 1980's to provide protection to consumers based upon buying and market trends. The escalating price of cars, extended term auto loans, and the increasing popularity of leasing gave birth to GAP protection. GAP waivers provide protection for consumers when a "gap" exists between the actual value of their vehicle and the amount of money owed to the bank or leasing company. In some countries including New Zealand and Australia market structures mean that people are more likely to buy a nearly new car than a new car so this is less of a problem.

In the United States, liability insurance covers claims against the policy holder and generally, any other operator of the insured's vehicle, provided they do not live at the same address as the policy holder and are not specifically excluded on the policy. In the case of those living at the same address, they must specifically be covered on the policy. Thus it is necessary for example, when a family member comes of driving age they must be added on to the policy. Liability insurance generally does not protect the policy holder if they operate any vehicles other than their own. When you drive a vehicle owned by another party, you are covered under that party's policy. Non-owners policies may be offered that would cover an insured on any vehicle they drive. This coverage is available only to those who do not own their own vehicle.

Generally, liability coverage does extend when you rent a car. However, in most cases only liability applies. Any additional coverage, such as comprehensive policies, i.e. "full coverage" may not apply. Full coverage premiums are based on, among other factors, the value of the insured's vehicle. This coverage may not apply to rental cars because the insurance company does not want to assume responsibility for a claim greater than the value of the insured's vehicle, assuming that a rental car may be worth more than the insured's vehicle. Some states, such as Minnesota, may require that it extend to rental cars. Most rental car companies offer insurance to cover damage to the rental vehicle. In some regions, the costs associated with not having access to the vehicle ("Loss of Use") is also covered.

Body Shop, How To Value One?

Many smaller body shop owners have asked, “How do I appraise my body shop?” In the last month I have been asked to do two appraisals on body shops. The first appraisal was to assist in partnership dissolution; the second appraisal was for marriage dissolution. (That is what the attorneys call a divorce.) Would you like to know how to appraise the value of a body shop business?

Before we begin, I would like to make one comment. Whenever a CPA has done an appraisal of a body shop, I find that their opinion of value is much greater than the actual value the market place will pay. This is not because the CPA’s do not know what they are doing because they do; it is just that the market place places a much higher risk on buying a body shop than the accountants do. The following is an excerpt from one of those appraisals.

THE THREE WAYS TO APPRAISE A BUSINESS

1. The ASSET VALUATION METHOD. This method is basically used when a body shop does less than $400,000 a year in gross income and the seller is making wages, but no real profit above what he would be paid if working for another. On this size business, a buyer is willing to pay for the assets of the business but little or nothing for goodwill. The equipment is usually worth between $50,000 and $100,000, depending on how many frame machines the business owns and how nice a spray booth the business owns.

I have seen some specialized shops sell for more than the above number because they have a truck spray booth or another business attached to the main business. Examples of attached business might be an auto repair shop or towing operation. Also the location, size and real estate rental amount will influence the value of any business, to some degree.

2. The second method, I call the GROSS SALES METHOD. This is used when the sales are over $1,000,000 a year but the profit is unknown or financials are not available or reliable. Because of experience, a Body shop buyer can make reasonable estimates of future profits, if they have some basic information. The basic information includes rent, source of business (DRP, STREET, or a CAR RENTAL AGENCY), and the desirability of the location.

When this method is used, the value appears to be about 3 months sales or 25% of the last 12 months sales. This method is not very reliable on businesses with sales of less than $1,000,000, because the question of being profitable is very questionable. Why is this breaking point $1,000,000 in annual sales? Multi-store buyers will have well paid managers, so many figure their breakeven point is around a million.

Less than $1,000,000 in sales is not even worth their time. Of course we know that there are exceptions to the rules. Some of the exceptions are A. when a new location will be a satellite store to a bigger location. B. The buyer must have a location in a specific area to please a DRP. C. To get rid of a competitor.

3. The third and most used method of evaluating any business, including body shops, is the NET PROFIT METHOD. This method is based on the idea that a business is worth what it generates, in profit and benefits, for an owner. Body shops, like so many other small businesses, often do not show a profit, at the end of the year. Strange, how so many businesses of different sizes all just happen to end up with little or no profit. What I find really amazing is that the IRS doesn’t audit more businesses then they currently do.

As a result of showing poor profits, on the books, it becomes very difficult to use the NET PROFIT METHOD for appraising many small businesses. Luckily for me, I can quite often find hidden profits, of a business, by adding to the books, items we call owner’s benefits. These include: Owners salaries, if a corporation. Personal autos and all the related expenses used by the owner and his family that are written off against the business, fife insurance and health insurance for the owners.

Depreciation is also a hidden profit that is usually added back in to the taxable profit to help build up the total owners benefits. And lastly, personal utilities, phones, trips, etc. that are deducted on the tax return but are not really costs to run the business.

After saying all this, what is the value of a business based on the Net Profit Method? Automotive businesses, especially auto body shops appear to sell for between 1.5 to 2 years adjusted profit (book profit plus owners benefits added back in). Larger body shops doing over $2,000,000 in annual sales may sell for much more, because the owner is making much more money, than just his salary and a buyer will consider part of the profit a return on his financial investment.

Very large body shops that are being bought by public corporations are evaluated primarily on their return on investment (Percentage profit that is being made on the cash purchase price of the business.) These big buyers can afford to pay between 5 times and 10 times annual net profit, after deducting all officers’ salaries and perks.

Often these, public corporations, high purchase prices include two important restrictions, which is really why they are buying the business in the first place. First: The business is bought for little or no real money. They use restricted corporate stock that is not negotiable for two years. And second: The management is required to stay and run the company for some period of years.

The bottom-line, as I see it, is that you sold your soul, not your business. One last comment on selling to large corporations; heaven help the seller who sells his business for corporate stock or the buyers bonds and the buying company goes broke or the stock market crashes. I had a close friend sell his company for mostly cash and some seller carry back financing in Dec 1997. By Feb 1998 the buying company was in bankruptcy, making the paper my friend held worthless.

CONCLUSION: Appraising a business, especially body shops, is an art not a science. No two people will appraise the value of a business the same. I am amazed that the same thing one buyer thinks is a great asset is what another buyer thinks is a major negative. Differences of opinion are what make life interesting.

You have to remember that they are trying to negotiate you into paying more money just as you are trying to negotiate paying less. Here are some of the things that you can expect to hear from them.

1. These cars are flying off of the lot. It may not be available for the same deal tomorrow. (Threaten to leave and they will ease up and try to change their strategy)

2. This deal is only good for today. If you come back tomorrow I can't guarantee that the deal will be the same.

3. I'm an honest man. Look at how many cars I've sold this weekend (This is where he will show you his list of sold cars. If he does this, then tell him that he doesn't need your money).

4. I hate to tell you this but I have another offer on the table from a man that is willing to pay more money than this. I am just waiting for his paperwork to be returned. (Tell him that if he promised the car to someone else, you don't want to step on someone else's toes and that you should leave then).

5. To cover the overhead costs, we have paid $13,000 for this car (Just check your paperwork in your folder and prove them wrong).

Reading Between the Tires

Every rider must have knowledge about tires. They must know its construction, its maintenance and care, how to mount and dismount it, how to troubleshoot and to take precautions. To do it here are the areas that need to be known by them:

1.The right size. Sizing is the process of choosing the tire by determining its rim width. This means that the tires must not be wider or narrower than its original equipment tires because to choose otherwise will distort motorcycle handling.
2.Pressure. Pressure increases with temperature. Thus, a rider must check tires regularly especially during winter season. Advisable tire pressures can be found on the manufacturer's reference table. Check them out in order to have a safe tire pressure.
Never bleed air from a hot tire. Also avoid riding when tires are underinflated because this can lead to premature wear, tire failure and damage to the carcass.
3.The Wear. Regularly inspect the wear indicator in the tire grooves. You will know that the tire should be replaced if the wear indicators are leveled with the surface of the tread at any point.
4.The Valve. Always use valve caps to prevent air loss and to avoid dirt from entering the valve.
5.Warm-up. Each time you ride on your motorcycle, always begin at a moderate speed. This will gradually condition the tires up to their normal operating temperature. If they have already achieved a full warm-up then they will have an optimal grip.
6.Break-in. After warming up, avoid rapid acceleration or hard cornering. Do this for the first 50 kilometers of your ride up to the extent when the tread area is totally worn off.
7.Repairs. Try to learn the basics of motorcycle repairs so that you will not be groping in the dark when discrepancies occur. Another option is to consult tire experts to attend to tire repairs.

Remember that these are used cables so it will definitely have a few scratches; but it must not be too great that using it for just a few days will result in a total bust. After you have checked thoroughly, make sure you have the correct part for the application, e.g. correct cable ends, proper size casing ferrules, correct size, shape and thread size of adjusters/elbows, etc.

Tip #2: Make sure all adjusters are in "closed" position.

Tip #3: Use a direct route for the cables. Route your used cables from control to actuator in the most direct way possible. Keep cables away from hot surfaces and avoid sharp bends, as well as "kinks" in the housing or inner cable.

Tip #4: Adjust throttle/idle cables. These should be adjusted the carb/s will return to full close when off. Adjust any excessive freeplay and be sure throttle action is smooth and free from open to full close before starting the engine. Also make sure that the used cables do not bind together or hang up when there is full lock-to-lock movement of bars.

Tip #5: Make sure clutch/brake cables are routed properly. This is to avoid binding or hanging up the cables when there is full lock-to-lock movement of bars. Also, cables that are routed properly will not bind during compression of forks or suspension. Install lever and actuator fittings, adjust freeplay to correct specs and check for smooth-positive action. These are done before starting the bike.

Tip #6: Route the speedometer/tachometer cables using a direct path. Make sure that the cable will not hang up on the caliper when forks compressed on the front wheel drive speedometer cable. This is what usually happens with aftermarket calipers because they often come in a larger size or different shape. Always make sure that the inner cable is well-lubed with light grease when installing and removing. Clean and re-grease regularly for maintenance.

Tip #7: Avoid having contact with painted surfaces when installing stainless steel braided cables. The braided surfaces of these used cables are very abrasive. You can use shrink or spiral wrap and/or cable guides when needed. And because stainless braided cables are less flexible, always keep this in mind when getting measurements for applications that are tailored according to your specifications. Clean and lube like any conventional cable assemblies.

And like any other used motorcycle parts, keep used cables clean and properly lubricated when necessary. Always check on the proper adjustments and inspect for any wear and tear on a regular basis. Signs to look out for are torn or worn housing, frayed wires, and signs of bending or kinking at the controls.

Motorcycle won't start?

9 times out of 10 the reason why your bike won't start is usually because of the battery condition or loose connections. A charging system failure is less likely but is still possible.

I will talk about both of them here.

First look at your battery connections. Check for obvious and easiest to fix problems first. A loose connection, poor ground etc. will likely cause intermittent operation of the starting and charging systems. If you find a loose connection and/or corrosion, clean the connections with a wire brush.

Before re-attaching apply a little grease to the contact points. The grease helps to prevent any of the white corrosion residues building up around the battery terminals.

Try and start her up now. You still have a problem? Go down to the mall and buy yourself a small electronic multimeter. (Make sure it has both AC and DC volt functions, as well as a continuity (or OHMS)function. Pull out the battery and set it on a counter. Set your multimeter to DC volts. Measure the Battery voltage by placing the red lead on the positive and the Black on the negative.

The voltage read should be around 12.5 volts (higher is OK) If the voltage is less than this it may indicate a poor battery. Notice I say, "may" here because the bike's charging system might be at fault. In this case the battery will most likely be OK.

Confirm that the electrolyte level in each cell of the battery is good. Add distilled water only to cell's with a low level. (Obviously you cannot add water to a maintenance free battery) Charge the battery overnight with a slow charger only. Motorcycle batteries cannot handle a fast charge. Make sure the charger only charges at a rate of 2 amps or less.

Install the battery and try and start her again. If she still won't go buy a new battery and your problem will likely be fixed. If she starts and runs like a charm, then you have to find out why the battery went dead. You need to check the charging system.

With the engine running, place the multimeter leads on the battery. Rev the engine a little. The system voltage should rise with engine RPM. A voltage of around 13.5 to about 14.5 should be displayed. If the voltage stays constant and/or is slowly decreasing, or if the voltage rises above 14.7 volts the charging system is not functioning.

What do you do now? You have to check two things. The Stator and the Regulator. The stator creates an AC voltage. The regulator changes the AC to DC voltage and also maintains that voltage at the proper level.

The Stator can be checked with the Ohms function on your meter. Locate and remove the plug for the stator on the front of the engine block. You will see two or three pins inside.

Set the meter for low Ohms, and measure the continuity between these pins. 5 Ohms or less is what you are looking for here. Set the meter to the highest setting. With 1 lead attached to a metal part of bike check for continuity to each pin. You meter should read infinite, or no continuity. If these tests check out then your stator is fine. If there is a fault in any of these tests, then see your dealer

The regulator is the easiest of all to check. The regulator is made of solid state electronics and can't be opened. Replace the regulator if everything else on the charging system checks out or if there is an overcharging situation.

On most Harley's you will not know if the charging system is beginning to fail. The evidence shows up when you have dim lights or she just won't start. There are aftermarket accessories that you can install on your bike that will tell you the current state of the charging system.

Save yourself some bucks here!! With a simple multimeter available from any Electronics parts store you can troubleshoot your charging system and check your battery and most likely repair any problems yourself.

Regular oil changes are as important to your car as daily trips to the bathroom are to you. Now, we won't take the analogy too far, but you get the idea. This one scheduled maintenance may help your vehicle avoid mechanical failures.

I actually heard two mechanics say that they figured you could run a car forever if you had the oil changed every 2000 miles. That may seem excessive to some folks. But it kept my baby humming nicely!

Now if you see any hint of an oil leak on the driveway after the car is parked, get to a service station. This could be ultra bad news and you need to have your car checked out immediately. Ditto if you detect a burning smell or smoke coming from around the engine!

You may not feel 100 omfortable changing your oil, but you can check it easily. It's best to check the oil when your engine is cold. Unscrew the cap and pull out the dipstick. Wipe it with a clean tissue or paper towel. Reinsert the stick all the way. Then pull it back out and check the dipstick. You'll see "add" and "full" lines clearly marked on it. If the oil film is between the "add" and "full" lines, you're good. If it's below the "add" line, you need a quart of oil. Make sure you use the kind recommended in your owner's manual. After adding the oil, repeat all the steps.

See, that wasn't too hard, was it?

Make sure you take the time to check the oil levels in your car, and have it changed regularly. It literally means the difference between life and death for your vehicle!
